Filmadex IP & Data Ownership Policy
Last Updated: July 25, 2026
This IP & Data Ownership Policy explains ownership, licensing, and responsibility for content submitted to, created through, stored in, or shared through Filmadex.
This Policy forms part of the Filmadex Terms of Service.
"Filmadex," "Okliko," "we," "us," and "our" refer to Okliko Inc., a Delaware corporation and the operator of Filmadex.
1. Core Ownership Principle
Filmadex does not take ownership of your film project merely because you use the Service.
As between you and Filmadex, you retain the rights you lawfully hold in:
- scripts;
- stories;
- loglines;
- treatments;
- synopses;
- outlines;
- characters;
- scenes;
- project documents;
- images;
- storyboards;
- artwork;
- footage;
- audio;
- music;
- trailers;
- videos;
- prompts;
- project metadata;
- human-created edits;
- collaborator contributions you own; and
- other original project materials.
Your ownership remains subject to:
- co-writer rights;
- collaborator rights;
- employer rights;
- work-made-for-hire agreements;
- production-company rights;
- assignments;
- licenses;
- underlying rights;
- third-party materials;
- guild or union rules;
- contractual obligations; and
- applicable law.
Filmadex does not determine who owns a project when multiple parties claim rights.
2. Definitions
Project Content
"Project Content" means content uploaded, entered, stored, generated, edited, organized, or shared within a Filmadex project.
Input
"Input" means prompts, instructions, scripts, images, audio, video, reference materials, data, or other content submitted to an artificial intelligence or automated feature.
Output
"Output" means text, images, analysis, suggestions, audio, animation, video, or other material generated in response to an Input.
Platform Materials
"Platform Materials" means Filmadex's software, interfaces, branding, templates, databases, documentation, system prompts, workflow structures, functionality, internal processes, and underlying technology.
Public Content
"Public Content" means Project Content that a user intentionally publishes or makes available publicly or through a shareable link.
Operational Data
"Operational Data" means technical, analytical, security, performance, usage, and service-management information generated through operation of Filmadex.
3. Ownership of Project Content
As between you and Filmadex, you retain any ownership rights you lawfully hold in Project Content.
Uploading, creating, revising, organizing, analyzing, or storing Project Content through Filmadex does not transfer ownership of the underlying project to Filmadex.
Filmadex does not claim ownership of your:
- screenplay;
- underlying story;
- film concept;
- characters;
- creative development materials;
- project package;
- private project page;
- uploaded trailer;
- uploaded footage;
- uploaded voiceover;
- uploaded music;
- human-created storyboard;
- production information; or
- human-created arrangement or editing.
Filmadex cannot grant you rights that you do not already own or that Filmadex does not have authority to grant.
4. Limited Operational License
You grant Okliko Inc., its affiliates, successors, assignees, service providers, contractors, and subprocessors a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to process Project Content solely as reasonably necessary to:
- host and store it;
- display it to you;
- display it to authorized collaborators;
- perform requested analysis;
- perform requested editing or transformation;
- generate requested outputs;
- create technical copies;
- create thumbnails;
- create previews;
- create transcodes;
- create export formats;
- transmit content;
- operate public and shared pages;
- provide support;
- secure Filmadex;
- detect abuse;
- enforce legal terms;
- comply with law;
- maintain backups; and
- transfer Filmadex in a corporate transaction.
The license includes rights necessary to reproduce, transmit, format, adapt, modify, display, perform, and create technical derivatives of Project Content for those purposes.
To the extent permitted by law, you waive and agree not to assert moral rights against Filmadex solely in connection with uses authorized by this license.
The license does not give Filmadex the independent right to:
- option your project;
- produce your project;
- sell your project;
- finance your project;
- license your project for Filmadex's own exploitation;
- claim writing or producing credit; or
- distribute your film as Filmadex's property.
5. Project Owners and Administrators
Filmadex may designate a project owner or administrator for technical account-management purposes.
That designation controls platform permissions but does not conclusively determine legal ownership.
A project owner may be able to:
- invite collaborators;
- remove collaborators;
- set permissions;
- publish the project;
- initiate exports;
- delete content;
- change project settings; and
- control subscription-funded features.
The project owner is responsible for ensuring that these actions are authorized.
Filmadex may rely on the instructions of the designated project owner or administrator unless Filmadex has actual knowledge of a conflicting legal obligation.
Filmadex is not required to investigate ownership before following ordinary account instructions.
6. Collaborator Contributions
A collaborator retains whatever rights the collaborator legally holds in that collaborator's contribution.
Adding a contribution to a Filmadex project does not automatically:
- transfer ownership to the project owner;
- transfer ownership to Filmadex;
- make the contribution a work made for hire;
- waive compensation;
- waive credit;
- create an assignment;
- establish co-authorship; or
- resolve chain of title.
Project participants are responsible for entering appropriate agreements addressing:
- authorship;
- ownership;
- assignment;
- licensing;
- confidentiality;
- compensation;
- credit;
- work-made-for-hire status;
- editing authority;
- approval rights;
- removal;
- reuse; and
- continuing rights after collaboration ends.
Filmadex is not a party to those agreements and does not adjudicate related disputes.
7. AI Inputs
You retain the rights you lawfully hold in an Input.
You are responsible for ensuring that you have authority to submit the Input and direct Filmadex and its providers to process it.
Submitting an Input authorizes Filmadex and applicable providers to:
- reproduce it;
- transmit it;
- analyze it;
- transform it;
- temporarily retain it;
- combine it with processing instructions; and
- use it to produce the requested Output.
You may not submit an Input merely because it is technically accessible to you. You must have the legal right to use it for the intended purpose.
8. AI Outputs
As between you and Filmadex, and subject to applicable law, third-party rights, and provider terms:
- Filmadex does not claim ownership of an Output generated specifically for you;
- you may use the Output for lawful commercial or non-commercial purposes;
- to the extent Filmadex obtains an ownership right in an Output generated specifically for you, Filmadex assigns that right to you; and
- Filmadex retains ownership of its Platform Materials and underlying technology.
This assignment does not guarantee that the Output is legally protectable.
An Output may:
- lack sufficient human authorship;
- be ineligible for copyright registration;
- be identical or similar to another output;
- include common or unprotectable elements;
- resemble existing material;
- contain an unauthorized element;
- require third-party clearance; or
- be subject to restrictions outside Filmadex's control.
Filmadex does not guarantee:
- originality;
- exclusivity;
- copyrightability;
- patentability;
- trademark availability;
- registrability;
- non-infringement;
- commercial clearance; or
- suitability for distribution.
You are responsible for reviewing and clearing Outputs before use.
9. Human Authorship and Editing
Your human creative contributions may include:
- selecting;
- arranging;
- rewriting;
- editing;
- directing;
- compositing;
- sequencing;
- modifying;
- combining;
- refining; and
- exercising creative judgment.
Whether those contributions create a legally protectable work depends on applicable law and the specific facts.
Filmadex does not provide legal advice or determine whether a work is copyrightable.
Maintain records of your human contributions where ownership, registration, or chain of title may matter.
10. AI Model Training
Filmadex does not itself use non-public Project Content to train general-purpose AI models. Where commercially available, Filmadex selects business or paid-service configurations under which AI providers do not use prompts or outputs to train general-purpose models without authorization. Service and infrastructure providers may process information to provide, secure, maintain, monitor, troubleshoot, and improve their services under their applicable contracts.
Such processing may include:
- processing necessary to provide the requested feature;
- temporary technical retention;
- safety screening;
- abuse prevention;
- security analysis;
- debugging;
- legally required retention;
- fraud detection;
- de-identified operational analytics; or
- model customization expressly requested and authorized by the customer.
Third-party providers may process information under their applicable contractual terms.
11. Similar Outputs
Artificial intelligence systems may produce identical or similar outputs for multiple users.
You do not receive exclusive rights in:
- common concepts;
- ideas;
- genres;
- themes;
- styles;
- stock elements;
- public-domain material;
- unprotectable material; or
- content independently generated for another user.
Another user's receipt of a similar Output does not by itself establish that Filmadex disclosed or copied your Project Content.
12. Third-Party Materials
Third-party materials remain owned by their respective rights holders.
Third-party materials may include:
- stock images;
- stock footage;
- music;
- sound recordings;
- fonts;
- logos;
- trademarks;
- film stills;
- posters;
- scripts;
- public-domain works;
- licensed templates;
- photographs;
- reference images;
- social content;
- web results; and
- external trailers.
The appearance, discovery, organization, or display of a third-party item through Filmadex does not grant you a license to use it.
You must independently confirm:
- ownership;
- license terms;
- attribution requirements;
- commercial-use rights;
- modification rights;
- territory;
- duration;
- media rights; and
- sublicensing rights.
Reference material should not be treated as cleared production material.
13. Lookbooks and Reference Materials
Filmadex may help users organize visual references, research, mood boards, or lookbooks.
Reference use does not necessarily authorize:
- reproduction;
- publication;
- commercial use;
- adaptation;
- promotional use;
- distribution; or
- incorporation into a finished project.
Users are responsible for replacing uncleared reference materials with licensed or original production materials where necessary.
14. Names, Images, Voices, and Likenesses
You must have all required rights and permissions before using a real person's:
- name;
- face;
- image;
- body;
- likeness;
- voice;
- performance;
- movements;
- biography;
- personal characteristics; or
- recognizable identity.
Creating a fictional or AI-generated work does not eliminate another person's privacy, publicity, contractual, performer, or intellectual property rights.
You may not use Filmadex to create an unauthorized:
- cloned voice;
- digital replica;
- performance;
- impersonation;
- endorsement;
- deceptive depiction; or
- misleading association.
Filmadex may reject or remove content involving a real person at its discretion.
15. Actor Resemblance and Casting References
A visual resemblance reference, casting reference, or actor inspiration does not grant a right to:
- depict that actor;
- imply participation;
- imply endorsement;
- use the actor's identity commercially;
- market the project using the actor's likeness; or
- create a digital replica.
Users must distinguish internal creative references from cleared promotional or production materials.
16. Music, Sound Recordings, and Audio
Uploading or creating audio through Filmadex does not clear the rights needed for commercial use.
Separate rights may exist in:
- a musical composition;
- lyrics;
- a sound recording;
- a performance;
- a voice;
- a sample;
- a synchronization;
- a master recording;
- publishing;
- mechanical reproduction; and
- public performance.
You are responsible for identifying and obtaining all necessary rights.
Filmadex does not perform music, performer, guild, union, publishing, synchronization, or distribution clearance.
17. Voiceover and Speech
You retain ownership rights you lawfully hold in voiceover, narration, dialogue, or speech you upload.
You must have authorization from the speaker or rights holder where required.
You may not upload or generate a cloned or simulated voice without all legally required permission.
Filmadex may create technical copies or alternate formats necessary to process, synchronize, stream, edit, or export audio.
18. Uploaded Trailers and Videos
You retain rights you lawfully hold in trailers and videos uploaded to Filmadex.
You represent that you have all rights needed for:
- footage;
- animation;
- music;
- sound recordings;
- dialogue;
- performers;
- names and likenesses;
- artwork;
- trademarks;
- underlying scripts;
- locations;
- credits; and
- distribution.
Filmadex may create:
- thumbnails;
- previews;
- streaming copies;
- compressed versions;
- transcodes;
- alternate aspect ratios;
- exports; and
- other technical versions.
Filmadex does not independently verify chain of title.
19. Public and Shared Content License
When you intentionally publish or share Project Content, you authorize Filmadex to:
- host it;
- reproduce it;
- display it;
- perform it;
- stream it;
- format it;
- transmit it;
- create technical versions;
- generate link previews; and
- make it available to the audience you select.
This license continues while the material remains public or shared and for a commercially reasonable period needed to remove cached or backup copies.
Publishing does not transfer ownership to Filmadex.
However, third parties may retain or redistribute public content outside Filmadex's control.
20. Private and Confidential Projects
Filmadex treats content that has not intentionally been published or publicly shared as non-public content under its policies.
However:
- Filmadex is not a substitute for an NDA;
- collaborators may copy materials;
- account permissions may be misconfigured;
- users may disclose content outside Filmadex;
- providers may process content to provide the Service;
- legal requests may require disclosure; and
- no system can guarantee absolute security.
Use appropriate written agreements when confidentiality is material.
21. Filmadex Platform Materials
Okliko Inc. and its licensors own the Platform Materials.
Your ownership of Project Content does not give you ownership of:
- Filmadex software;
- source code;
- interface;
- design;
- branding;
- trademarks;
- documentation;
- workflows;
- internal prompts;
- templates;
- model-routing logic;
- databases;
- analytics;
- technical architecture; or
- platform functionality.
You may not copy, distribute, reverse engineer, sell, license, reproduce, or create a competing service from Platform Materials except where Filmadex gives written permission or applicable law expressly permits it.
22. Operational and De-Identified Data
Filmadex owns or may use Operational Data generated through operation of the Service.
Operational Data may include:
- feature usage;
- generation counts;
- processing time;
- storage consumption;
- error rates;
- system performance;
- device information;
- security events;
- safety-filter activity;
- subscription utilization; and
- aggregated interaction patterns.
Filmadex may use Operational Data to:
- operate the Service;
- improve performance;
- maintain security;
- prevent fraud;
- forecast demand;
- measure features;
- troubleshoot;
- manage costs; and
- develop the business.
Filmadex may use aggregated or de-identified information provided that it does not reasonably identify an individual or reveal the substance of a confidential project.
23. Feedback
Product feedback is not treated as Project Content unless the feedback itself contains project materials.
You grant Filmadex a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable right to use feedback to:
- improve Filmadex;
- develop features;
- modify workflows;
- create products;
- market products; and
- commercialize improvements.
Providing feedback does not give Filmadex the right to produce your film project solely because the project was discussed in a support or feedback session.
24. No Clearance or Legal Review
Filmadex does not:
- conduct copyright clearance;
- conduct trademark clearance;
- verify chain of title;
- confirm rights of publicity;
- confirm privacy compliance;
- verify music rights;
- verify performer releases;
- verify guild or union compliance;
- verify securities compliance;
- verify financing disclosures;
- verify distribution rights; or
- provide legal advice.
Any review, warning, automated analysis, or platform restriction is not a legal determination.
You remain responsible for professional legal and clearance review.
25. Ownership and Collaboration Disputes
Filmadex may, but is not required to:
- temporarily restrict access;
- preserve relevant records;
- freeze deletion;
- request documentation;
- refer parties to legal counsel;
- comply with a court order; or
- take another reasonable step during a dispute.
Filmadex is not obligated to decide which claimant is correct.
Absent a legally binding order or clear evidence of unauthorized account access, Filmadex may rely on the permissions and ownership settings reflected in the Service.
You agree not to hold Filmadex responsible for declining to adjudicate a private ownership dispute.
26. Deletion and Account Closure
When an authorized user deletes Project Content, Filmadex may remove it from active user-facing systems within a commercially reasonable period.
Copies may remain in:
- backups;
- disaster-recovery systems;
- security logs;
- legal holds;
- audit records;
- fraud-prevention records;
- provider systems;
- exports;
- collaborator accounts;
- public caches; and
- third-party platforms.
Deletion does not require another user or third party to delete a copy that person lawfully or independently controls.
Deletion does not affect rights or obligations that arose before deletion.
27. Intellectual Property Complaints
Copyright and other intellectual property complaints may be sent to:
A complaint should provide:
- identification of the rights holder;
- identification of the protected work;
- identification and location of the disputed material;
- contact information for the complaining party;
- a good-faith statement concerning unauthorized use;
- a statement concerning the accuracy and authority of the complaint; and
- an electronic signature or other sufficient authentication.
Filmadex may:
- remove content;
- restrict access;
- notify the affected user;
- request additional information;
- restore content;
- preserve evidence;
- terminate repeat infringers; or
- take other action.
Submitting a knowingly false complaint may create legal liability.
A separate Filmadex Copyright and DMCA Notice will contain the designated-agent information if Okliko Inc. completes formal registration.
28. Conflicts
If this Policy conflicts with the Terms of Service regarding ownership or licensing of Project Content, this Policy controls solely on that ownership or licensing issue.
The Terms of Service control on:
- subscriptions;
- liability;
- indemnification;
- arbitration;
- governing law;
- suspension;
- termination; and
- general use of the Service.
29. Changes to This Policy
Filmadex may update this Policy to reflect changes in:
- features;
- artificial intelligence technology;
- provider terms;
- intellectual property law;
- privacy law;
- business operations; or
- user workflows.
The revised Policy will state its effective date.
Material changes will be communicated where legally required or reasonably appropriate.
